This Agreement is made between Seller, Buyer, and GuarantorPay, hereinafter referred to as the “Parties”, and is effective as of the date of signing.

WHEREAS,the merchant who subscribes to our service to use it in making credit sales is hereinafter referred to as ‘Seller’, Civil Servant who subscribes to our service to use it in making purchases on credit is hereinafter referred to as ‘Buyer’ and Guarantor and Partners hereinafter referred to as ‘GuarantorPay’.

WHEREAS, Seller desires to offer credit sales of its products and services to Buyer through the use of GuarantorPay’s services; and

WHEREAS, Buyer and GuarantorPay agree to use GuarantorPay’s services to facilitate the credit sales from Seller to Buyer;

NOW, THEREFORE, the Parties hereby agree as follows:

1. Seller represents and warrants that the products and services to be offered to Buyer through the use of GuarantorPay’s services will be of good quality, free from defects and in compliance with all applicable laws and regulations.
2. Buyer represents and warrants that all payments for products and services purchased through the use of GuarantorPay’s services will be made in a timely fashion and in accordance with the terms of this Agreement.
3. GuarantorPay represents and warrants that it will use reasonable efforts to ensure that the credit sales transactions between Seller and Buyer are secure and that all payments are made in a timely fashion and in accordance with the terms of this Agreement.
4. The Parties agree that GuarantorPay shall not have any liability with respect to the quality of products and services purchased by the Buyer or the Seller’s ability to deliver those products and services.
5. The Parties agree that all taxes, fees, and other charges associated with the credit sales shall be the responsibility of Seller.
6. The Parties agree that the Buyer shall be responsible to maintain a salary net for the deduction of his or her credit purchases as agreed with Seller within the one–third of his or her net salary monthly guarantee by GuarantorPay.
7. The Parties agree that the Buyer shall be responsible for safe guarding and keeping his or her email, phone number, and password for GuarantorPay services and take appropriate and adequate steps to stop the service in the case of losing any.
8. The Buyer and Seller agree to pay the fees and charges as determined and invoiced to them by Guarantorpay in a timely manner.
9. Agrees to use all reasonable and lawful means to recover any outstanding payments due from the Buyer (hereinafter referred to as "Buyer"), including, but not limited to, deducting from any bank account of the Buyer, reporting to the Buyer's employers and family, and seeking legal redress. The GuarantorPay shall not be held liable for any losses incurred in its efforts to recover the due payments.
